PURCHASE WAIVER & ASSUMPTION OF RISK

RECITALS

WHEREAS, PureLux Bio LLC (“PureLux Bio,” the “Company,” “we,” “us,” or “our”) offers for sale certain chemical and biological materials that are expressly designated and sold exclusively for Research Use Only;

WHEREAS, such research materials, by their nature, may present inherent risks if improperly handled, stored, transferred, used, disposed of, or applied outside their intended research scope;

WHEREAS, the Company does not control, supervise, direct, or monitor downstream handling or use of Products after shipment and therefore must reasonably allocate responsibility and risk consistent with lawful commercial practice;

WHEREAS, the purchaser (“Purchaser,” “you,” or “your”) desires to purchase Products from the Company with full knowledge of their Research Use Only designation, the associated risks, and the limitations of the Company’s role;

NOW, THEREFORE, in consideration of the foregoing and intending to be legally bound, the parties agree as follows:

ARTICLE I — ACKNOWLEDGMENT OF RESEARCH USE ONLY STATUS

Purchaser expressly acknowledges, affirms, and agrees that all Products purchased from PureLux Bio are designated strictly as Research Use Only. Purchaser understands and accepts that Products are not intended for, and shall not be used for, human use, animal use, veterinary use, diagnostic use, therapeutic use, clinical use, investigational use, cosmetic use, household use, or any application involving direct or indirect biological exposure.

Purchaser further acknowledges that Products have not been evaluated or approved by the United States Food and Drug Administration for medical, diagnostic, therapeutic, veterinary, or clinical use and that no representation, express or implied, has been made by the Company regarding safety or efficacy for such purposes.

Purchaser affirms that they have independently evaluated the Products and their suitability for Purchaser’s intended lawful research purposes and have not relied on the Company to determine appropriate applications, safety measures, or risk controls.

ARTICLE II — ASSUMPTION OF RISK

Purchaser acknowledges that the purchase, receipt, handling, storage, transfer, use, and disposal of chemical and biological research materials inherently involve risks, including but not limited to risks associated with improper handling, contamination, exposure, degradation, improper storage, misuse, diversion, or use outside intended research parameters.

Purchaser knowingly and voluntarily assumes all risks, whether known or unknown, foreseeable or unforeseeable, arising out of or related to the purchase, possession, handling, storage, use, misuse, or disposal of Products after they leave the Company’s custody.

This assumption of risk expressly includes, without limitation, risks arising from unauthorized human or animal use, including self-administration, administration to others, administration to pets or animals, or any form of injection, ingestion, inhalation, implantation, or topical application.

ARTICLE III — RELEASE OF LIABILITY

To the fullest extent permitted by applicable law, Purchaser hereby releases, waives, and discharges PureLux Bio and its members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns from any and all claims, demands, actions, causes of action, damages, losses, liabilities, costs, or expenses of any kind arising out of or related to Purchaser’s purchase, possession, handling, storage, use, misuse, or disposal of Products.

This release applies regardless of the theory of liability asserted, including but not limited to negligence, strict liability, breach of warranty, product liability, failure to warn, or statutory claims, except to the extent such release is prohibited by applicable law.

ARTICLE IV — MISUSE, HUMAN USE, AND ANIMAL USE

Purchaser expressly acknowledges and agrees that any use of Products in or on a human being or an animal—including but not limited to injection, ingestion, inhalation, implantation, topical application, or administration to pets, livestock, or wildlife—constitutes an unauthorized, prohibited, and unlawful misuse of the Products.

Any such misuse shall be deemed an independent, intervening act undertaken solely by Purchaser or third parties acting under Purchaser’s control or direction. The Company shall have no responsibility, liability, or duty with respect to any injury, harm, damage, loss, regulatory consequence, or legal action arising from such misuse.

ARTICLE V — INDEMNIFICATION AND HOLD HARMLESS

Purchaser agrees to indemnify, defend, and hold harmless PureLux Bio and its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Purchaser’s handling, storage, use, misuse, transfer, or disposal of Products;
Any unauthorized human or animal use of Products;
Any violation of applicable laws, regulations, or professional standards;
Any misrepresentation or breach of Purchaser’s representations under this Agreement or related agreements;
Any third-party claims resulting from Purchaser’s conduct or downstream distribution of Products.

This indemnification obligation shall survive completion of the transaction and shall apply regardless of whether the claim arises during or after Purchaser’s possession of the Products.

ARTICLE VI — NO RELIANCE; NO DUTY TO WARN

Purchaser acknowledges that they are not relying on any statement, recommendation, guidance, or representation by the Company regarding the handling, application, safety, or suitability of Products beyond the express terms of the governing agreements.

Purchaser further acknowledges that the Company has no duty to warn Purchaser or third parties of risks associated with misuse or unauthorized applications of Products beyond those expressly stated herein and in related agreements.

ARTICLE VII — ACCEPTANCE AND BINDING EFFECT

Purchaser acknowledges that acceptance of this Purchase Waiver & Assumption of Risk—whether by executing it directly, completing a purchase, or checking an acknowledgment box at checkout—constitutes Purchaser’s knowing, voluntary, and informed agreement to its terms.

This Purchase Waiver is a material condition of sale and forms part of the contractual framework governing all purchases from PureLux Bio.
